Setting up an LLC
Company Name
Note that company name and fictitious name are different. An LLC can have many fictitious names. You can look these up at the sunbiz site. FL trademarks are there as well. Federal trademarks are on the US Patent and Trademark web site.
The following terms are restricted in their use by either the Federal or State governments:
- Bank
- Insurance
- Trust or Trustee
- Investment and Loan
- Thrift
- Doctor
- Mortgage
- Mortgage
- Cooperative
- Olympic or Olympiad
Each state may have additional terms.
Articles of Organization
Note, when filing your Articles of Organization, check the box Any Lawful Purpose, don't be specific as your business may change.
Operating Agreement
This is important to create and follow in order to prevent piercing of the corporate veil.
LLC must have an EIN or TIN before opening a bank account. Apply to the IRS. An Occupational License will be required from each city you do business in.
You should fund the LLC with enough to deflect any claim that it was undercapitalized.
